“Pimp the Laptop” Contest/Sweepstakes
Official Rules

1. Eligibility: No Purchase Necessary To Enter or Win!  Participation constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules. The “Pimp the Laptop” Sweepstakes ("Sweepstakes") will begin at 12:00am Eastern Standard Time ("EST") on March 15, 2006 and end at 11:59pm EST on June 15, 2006 ("Sweepstakes Period"). Sweepstakes is sponsored by Laptop Design USA LLC, (the "Sponsor"). The Sweepstakes is open to individuals who are legal residents of the 50 United States and the District of Columbia and Canada (except in the province of Quebec, where it is void, and wherever else prohibited or restricted by law). Employees, officers and representatives of (Sponsor), their subsidiaries, affiliates and advertising/promotional agencies and individuals providing services to (Sponsor) through an outsourcer or temporary employment agency, and The American Sweepstakes and Promotion Company, Inc., as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Promotion is subject to all applicable federal, state and local laws and regulations. Participation in the Promotion constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. 3. Timing: The Promotion begins at 12:00 a.m. Eastern Time ("ET"), March 15, 2006 and end at 11:59pm EST on June 15, 2006 (the "Design Period"). From 12:01am EST on June 16, 2006 to 11:59pm on July 16, 2006 (the “Voting Period”). Administrator's computer is the official time keeping device for the promotion.

4. How to Enter: There are two ways to participate in the Promotion.

1) Contest: Create your own design by going to www.laptopdesignusa.com and click on the “Pimp the Laptop” Sweepstakes link and follow the instructions to download the canvas template. All entries submitted will be posted during the 90 day “Design Period”. Sponsor will select the designs that will make the final selections and post them in the Galley Section for voting during the 30 day “Voting Period”.

Judging Design Criteria for Finalists: Entries will be judged according to the following criteria: Originality of the design; Color selection; Composition; and Overall Impression. All entries will be judged by a panel of judges whose decisions are final and binding on all matters. The judges will consist of the CEO of Laptop Design USA, the Director of Design, and Sponsors Communication Agency. All prizes may not be awarded in the event an insufficient number of qualified entries are received that meet the minimum standards established by the judges. All entries will be judged by a panel of judges whose decisions are final and binding on all matters.

Submissions: By submitting a design entry  ("Submitted Item") you hereby grant to Sponsor an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, sublicense and otherwise commercially and non-commercially exploit your Submitted Item and all copyright, trade secret, trademark or other intellectual property rights therein, in any manner or medium now existing or hereafter developed (including but not limited to print, film, or electronic storage devices), without separate compensation to you or any other person or entity.

You hereby represent and warrant that (a) you have all necessary right, power and authority to grant the license set forth herein to your Submitted Item, and (b) your Submitted Item does not violate, misappropriate or infringe any copyright, trade secret, trademark or other intellectual property right of any other person or entity. You will take, at Sponsor's expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm the license granted to Sponsor to your Submitted Item as set forth herein.

By submitting a Submitted Item, you hereby grant Sponsor the right to use your name, use or posting of your Submitted Item. You will include your name and E-mail address with your Submitted Item so that we can contact you if we have any questions about your Submitted Item; however, only your first name and last initial will be published with your Submitted Item (unless permission is granted from you to use your full name).

2) Sweepstakes: From June 16, 2006 to July 16, 2006 vote for your favorite design at www.laptopdesignusa.com and complete the online entry form that includes your name, address, email and daytime telephone number and you will be entered into the Sweepstakes. Only one vote per person or e-mail address is permitted. Sponsor reserves the right to disqualify any person or e-mail address that submits multiple entries. All votes must be submitted by 12:00pm EST on July 16, 2006 to qualify.

5. Prizes:  One (1) Grand Prize Design winner will be receive a RAVE Computer that has an Average Retail Value (ARV) of $3,900. One (1) Grand Prize Sweepstakes winner will receive an Actius MC24 Sharp Computer that has an (ARV) of $1,000.

6. Prize Conditions: Grand Prize winners are solely responsible for all applicable federal, state, and local taxes associated with the receipt of any prize. Grand Prize winner will be required to sign an Affidavit of Eligibility and Liability/Publicity Release, and return it within 14 days of written notification. All taxes, if applicable, are the sole responsibility of the winner. If the winner is (under 18 years of age) he/she will be required to have a parent or legal guardian sign an Affidavit of Eligibility and Liability/Publicity Release. If a Canadian citizen wins the Grand Prize they will be required to answer, unaided, a mathematical skill-testing question. If a potential winner from Canada cannot be contacted and the skill test administered within 10 days of notification, or the question is incorrectly answered, the prize will be forfeited and an alternate winner will be selected.

7. Publicity: Except where prohibited, participation in this promotion constitutes winner's consent to Sponsor's use of winner's name, likeness, photograph, voice, opinions, biographical information, hometown and state for promotional purposes in any media without further payment or consideration.

8. Internet Limitations of Liability: If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of or after (if applicable) this termination or suspension date. Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

9. Terms & Conditions: This sweepstakes is subject to all applicable federal, state, and local laws. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sweepstakes Administrator, and waive any right to claim ambiguity in the sweepstakes or these Official Rules. Winners and entrants also agree to release, discharge, indemnify and hold harmless the Sponsor, vendors associated with the sweepstakes, and the respective officers and employees of these entries, from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in any part, directly or indirectly, from acceptance, possession, use or misuse of any prize offered, or participation in this sweepstakes. Any person attempting to defraud or in any way tamper with the sweepstakes mechanics and/or implementation will be prosecuted to the full extent of the law. This sweepstakes is void where prohibited.
